These Conditions of Service and Sale (the "Conditions") govern access to and use of the SaaS platform Vizible AI (the "Service").
By creating an account, accessing the Service, or subscribing to a paid plan, you confirm that you are acting on behalf of a business and agree to be bound by these Conditions.
1. Purpose
The purpose of these Conditions is to define the terms under which Vizible AI provides access to its SaaS platform and related services to professional users ("Clients").

3. Description of the Service
Vizible AI is a software-as-a-service (SaaS) platform providing analytics and insights related to AI search visibility, positioning, sentiment, and related metrics.
The Service is provided as is, based on its current technical capabilities, and may evolve over time.
4. Access to the Service
Access to the Service requires:
creation of a user account,
acceptance of these Conditions,
an active subscription for paid features.
The Client is responsible for ensuring that users accessing the Service on its behalf comply with these Conditions.
5. Free Trial
Vizible AI may offer a free trial period of seven (7) days.
Unless cancelled before the end of the trial, the subscription will automatically convert into a paid plan according to the pricing displayed at checkout.
No payment is due during the free trial.
6. Subscription Plans
The Service is offered through subscription plans, including:
Monthly subscriptions, billed monthly,
Annual subscriptions, billed upfront.
Plan features, pricing, and limits are described on the pricing page and may be updated at any time.
7. Pricing and Payment
All prices are expressed excluding taxes (HT).
Payments are processed securely via a third-party payment provider (e.g. Stripe).
The Client authorizes Vizible AI to automatically charge the applicable subscription fees for each billing period.
8. Taxes
For French clients, VAT is not applicable pursuant to article 293B of the French General Tax Code.
For EU business clients, VAT may be subject to reverse-charge rules.
The Client is solely responsible for determining and paying any applicable taxes.
9. Cancellation and Termination
Monthly subscriptions
May be cancelled at any time. Access remains available until the end of the current billing period.
Annual subscriptions
Paid upfront and non-refundable. Cancellation stops renewal but does not result in any refund.
10. No Refund Policy
Except where required by mandatory law, all payments are non-refundable, including in cases of early termination, non-use, or dissatisfaction with the Service.
11. Client Obligations
The Client agrees to:
provide accurate and up-to-date information,
use the Service only for lawful professional purposes,
not misuse, resell, or reverse-engineer the Service,
secure its login credentials.
12. Service Availability
Vizible AI does not guarantee uninterrupted availability.
The Service may be temporarily unavailable due to maintenance, updates, technical issues, or force majeure, without compensation.
13. Evolution of the Service
Vizible AI reserves the right to modify, improve, suspend, or discontinue all or part of the Service at any time.
Material changes may be communicated to Clients when appropriate.
14. Intellectual Property
All intellectual property rights relating to the Service, including software, content, branding, and documentation, remain the exclusive property of Vizible AI.
No rights are transferred to the Client other than a limited right to use the Service during the subscription term.
15. Data and Confidentiality
The Service processes professional data only.
Personal data is handled in accordance with the Privacy Policy.
Each party agrees to keep confidential any non-public information obtained through use of the Service.
16. Suspension or Termination for Breach
Vizible AI may suspend or terminate access to the Service without notice if the Client breaches these Conditions or uses the Service unlawfully.
17. Limitation of Liability
To the maximum extent permitted by law:
Vizible AI is bound by an obligation of means, not of results.
Vizible AI shall not be liable for indirect damages, including loss of revenue, profit, data, or business opportunity.
Total liability is strictly limited to the total amount paid by the Client during the last twelve (12) months preceding the claim, or, if lower, the amount actually paid by the Client.
This limitation applies regardless of the legal basis of the claim.
18. Force Majeure
Neither party shall be liable for failure or delay in performance due to events beyond reasonable control, including acts of God, network failures, or government actions.
19. Modification of the Conditions
Vizible AI may modify these Conditions at any time.
Updated Conditions will be published on the website and apply to future use of the Service.
20. Governing Law and Jurisdiction
These Conditions are governed by French law.
Any dispute shall fall under the exclusive jurisdiction of the competent courts of the provider's place of establishment.
